ARTICLE VI - BOARD OF DIRECTORS 6.1 The Association shall be guided by the Board of Directors. The Board shall consist of two representatives from each member denomination/jurisdiction. One of them shall be its executive or, if necessary, his or her appointee. The other shall be the ecumenical officer or the equivalent in the denominational structure. The Board shall also appoint four at-large members, selected to insure ethnic, gender, clergy/lay, and denominational diversity. 6.2 The Board of Directors shall: 6.2.1 Identify issues; 6.2.2 Prioritize and initiate action on issues; 6.2.3 Explain theological rational; and 6.2.4 Arrange ecumenical/interfaith services. 6.3 The Board of Directors shall establish policy in accordance with Association purposes, approve program and budget, and transact any other business which may come before it. Each member denomination shall cast one vote in matters of program and budget. The Board shall provide for whatever employed staff personnel may be required and shall include funds for their support in the Association budget. 6.4 The Board of Directors shall elect annually from its membership, a President, Vice-President, Recording Secretary, and Treasurer. These persons shall take office upon installation at the Annual Meeting and shall carry out the usual functions of their respective offices. 6.5 The Board of Directors shall be the Trustees of the Corporation. 6.6 The Board of Directors shall evaluate the Constitution and Bylaws three years after ratification. |
